Terms of Service

These Terms of Service explain the rules that apply when you access or use Open World. They form a legally binding agreement between you and Open World Group LLC.

1. Agreement and company information

These Terms of Service ("Terms") govern your access to and use of the Open World website, applications, platform, software, and related services that link to these Terms (collectively, the "Services").

The Services are provided by Open World Group LLC, doing business as Open World ("Open World," "we," "us," or "our"), a Delaware limited liability company located at 8 The Green, Street B, Dover, Delaware 19901, United States.

By creating an account, purchasing a paid feature, or otherwise accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.

If you use the Services on behalf of a company or another organization, you represent that you have authority to accept these Terms for that organization. In that case, "you" includes both you and the organization.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. The Services are not directed to children or minors.

You may not use the Services if applicable law prohibits you from receiving or using them.

3. The Services

Open World is a language-learning and communication-practice platform. Features may include interactive scenarios, speech recognition, pronunciation feedback, phoneme analysis, word timing, grammar feedback, vocabulary feedback, and other educational tools.

Some features may be available without charge. We may also offer optional paid features, subscriptions, organizational plans, or other purchases. The price and material terms of a paid offering will be presented before you purchase it.

The Services are intended for general language learning and practice. They are not an accredited educational program and do not guarantee a particular proficiency level, certification, score, employment result, academic result, or professional outcome.

4. On-device AI, speech, and learning analysis

Open World's speech and language-analysis features are designed to run locally on your device. Your microphone audio is not transmitted to Open World servers or to a third-party AI provider.

Your audio stays on your device. Open World does not receive, upload, or store your microphone audio or voice recordings.

Local processing may create temporary audio buffers, acoustic representations, or other technical information on your device. These local materials are controlled through the application, browser, and operating-system controls available to you.

You are responsible for granting and managing device permissions. You are also responsible for ensuring that you have permission to record or analyze any other person's voice that may be captured by your device.

On-device AI output is generated automatically and may be incomplete, inaccurate, or inconsistent. You should use your own judgment and verify important information rather than relying on AI-generated feedback as your only source.

5. Accounts and account security

Some features require an account. You agree to provide accurate and current registration information and to keep it reasonably up to date.

  • Keep your login credentials confidential.
  • Do not share, sell, transfer, or lend your account.
  • Use reasonable safeguards to protect your device and account.
  • Notify us promptly if you believe your account has been accessed without authorization.

You are responsible for activity performed through your account to the extent that the activity results from your actions or your failure to use reasonable account safeguards. You are not responsible for activity caused by Open World's breach of these Terms or failure to use reasonable security measures.

We may require you to change a username or other profile information if it impersonates another person, infringes rights, creates a security risk, or violates these Terms.

6. License to use the Services

Subject to these Terms, Open World grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for language learning, professional development, and other lawful purposes supported by the Services.

If your organization has an authorized plan, you may use the Services for internal business training under that plan. You may not resell, lease, sublicense, commercially distribute, or operate the Services for the benefit of third parties unless Open World has agreed in writing.

Any separate license terms included with third-party or open-source software, model files, or other components apply to those components. If separate terms conflict with these Terms for a particular component, the separate terms control for that component.

7. Intellectual property

Open World and its licensors own the Services and the software, designs, interfaces, graphics, text, lessons, scenarios, trademarks, logos, and other materials that we provide through the Services ("Open World Content"), except for content identified as belonging to another party.

These Terms do not transfer ownership of Open World Content to you. Except for the limited license in these Terms, all rights are reserved.

You may not copy, modify, distribute, sell, license, publicly display, or create derivative works from Open World Content unless the Services expressly permit it, applicable law permits it, or we give you written permission.

8. Your content, local learning data, and feedback

Device-only content

Audio, temporary speech buffers, and related learning analysis that remain on your device are not submitted to Open World.

Content you intentionally submit

You retain ownership of content that you intentionally send to Open World, such as text, files, screenshots, or other materials submitted through a support request ("Submitted Content").

You grant Open World a limited, exclusive license to host, copy, process, and use Submitted Content only as reasonably necessary to provide the feature you requested, respond to your request, protect the Services, comply with law, and exercise or defend legal rights.

This license ends when the relevant purpose is complete, subject to reasonable backup, security, and legal-retention periods described in our Privacy Notice.

You represent that you have the rights and permissions needed to submit the content and that your submission does not violate law or another person's rights.

Feedback

If you voluntarily provide ideas, suggestions, or feedback about the Services, you permit Open World to use that feedback without restriction or compensation. Do not submit confidential information as feedback.

Honest reviews

Nothing in these Terms restricts your right to give an honest review or opinion about Open World, its Services, or its conduct. This does not permit unlawful threats, harassment, defamation, disclosure of confidential information, or infringement of another person's rights.

9. Purchases, subscriptions, and billing

This section applies only if you purchase a paid feature, subscription, or plan.

Prices and payment

Prices, billing periods, included features, and applicable taxes will be shown before you complete a purchase. Unless the checkout page states otherwise, prices are shown in United States dollars.

Payment-card information is collected directly by our payment processor. Open World does not receive or store your complete card number or card security code. You authorize the applicable payment processor to charge your selected payment method for amounts you approve.

Automatic renewal

If a subscription automatically renews, we will clearly disclose the renewal terms, billing frequency, price, and cancellation method before you subscribe. By affirmatively accepting those terms, you authorize recurring charges until you cancel.

We will provide legally required confirmations, reminders, and notices of material price or subscription changes. A price change will apply no earlier than your next renewal after the required notice period, unless you expressly agree otherwise.

Cancellation

You may cancel an Open World-billed subscription through your account settings or another cancellation method identified at checkout. Cancellation stops future renewals and normally takes effect at the end of the current paid billing period.

If you purchased through an app store or another third party, you must cancel through that provider, and its billing and refund rules may apply.

Refunds

Except where required by law or expressly stated at checkout, charges are non-refundable and we do not provide credits for partially used billing periods. This does not limit any mandatory cancellation, refund, or cooling-off rights that apply to you.

10. Acceptable use

You may use the Services only lawfully and in accordance with these Terms. You may not:

  • use the Services to violate law or another person's rights;
  • attempt to access another user's account or non-public systems without authorization;
  • interfere with, disrupt, overload, or damage the Services or their security;
  • introduce malware, malicious code, or harmful automated traffic;
  • circumvent access, usage, subscription, or security controls;
  • scrape or systematically extract non-public data or content without permission;
  • use the Services to harass, threaten, exploit, defraud, or impersonate another person;
  • submit unlawful, infringing, deceptive, or malicious material;
  • use another person's voice without any consent required by applicable law;
  • use Open World content or outputs to create a misleading claim of certification, endorsement, or guaranteed proficiency;
  • resell or commercially redistribute the Services unless authorized in writing; or
  • use the Services in a manner that creates a material security, legal, or operational risk.

Reasonable security testing is permitted only with our prior written authorization. These Terms do not prohibit lawful interoperability, reverse engineering, or other activity that applicable law expressly permits and does not allow us to restrict.

11. Third-party services

The Services may allow you to sign in through, purchase through, or link to third-party services. Your use of a third-party service is governed by that provider's terms and privacy practices. Open World is not responsible for a third party's services, content, availability, or conduct.

When you use third-party sign-in, Open World receives only the authentication information described in our Privacy Notice. We do not ask you to provide your third-party password to Open World.

If you obtain an application or subscription through an app store, your use and purchase may also be subject to that app store's terms, billing rules, and refund policies.

12. Privacy and data handling

Our Privacy Notice explains what personal information Open World processes, why we process it, how long we retain it, and the choices and rights available to you.

The Privacy Notice is a disclosure of our privacy practices. Your use of the Services is subject to those practices, but the Privacy Notice does not reduce any rights provided by applicable privacy law.

Open World does not maintain server backups of device-only audio or device-only learning analysis because we do not receive that information. You are responsible for managing and backing up information that remains only on your device.

13. Service availability and changes

We may improve, update, add, remove, or discontinue features. We may also suspend access for maintenance, security, legal, or operational reasons. We do not guarantee that every feature will always be available or work on every device.

On-device features may require model downloads, available storage, memory, processing power, battery capacity, microphone access, and a compatible browser or operating system. Performance and availability may vary by device.

If we discontinue a material paid feature before the end of a paid term, we will provide a reasonable replacement, a prorated refund, or another remedy required by applicable law.

14. Suspension, termination, and account deletion

You may stop using the Services at any time. You may request account deletion through available account controls, our data request page , or by contacting us.

We may suspend, restrict, or terminate your access if we reasonably believe that:

  • you materially or repeatedly violated these Terms;
  • your account creates a security, fraud, abuse, or legal risk;
  • we are required to act by law or a valid legal request;
  • payment for a paid service is overdue or reversed; or
  • continuing to provide the Services is no longer reasonably possible.

When reasonably possible, we will provide notice and an opportunity to correct the issue before termination. We may act immediately when necessary to address fraud, security, illegal conduct, serious harm, or a legal requirement.

You may contact us to request a review of an account restriction or termination. Sections that by their nature should continue, including intellectual property, payment obligations, disclaimers, liability limits, dispute terms, and miscellaneous provisions, survive termination.

15. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available." Open World disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, compatible with every device, or free from harmful components. We do not warrant that AI-generated feedback, translations, pronunciation analysis, scores, explanations, or other outputs will be complete, correct, or suitable for every purpose.

The Services do not provide medical, legal, financial, immigration, employment, or other licensed professional advice. Nothing in the Services replaces advice from a qualified professional where professional advice is appropriate.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.

16. Limitation of liability

To the fullest extent permitted by law, Open World and its officers, employees, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of goodwill, or loss of data, arising from or relating to the Services, even if advised that such damages were possible.

To the fullest extent permitted by law, Open World's total liability for all claims arising from or relating to the Services will not exceed the greater of:

  • the amount you paid Open World for the Services during the 12 months before the event giving rise to the claim; or
  • 100 United States dollars.

These limitations do not apply to liability that cannot legally be limited or excluded, including liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence where applicable law prohibits limitation, or violation of non-waivable consumer rights.

Each limitation applies only to the maximum extent permitted in your jurisdiction.

17. Indemnity

To the extent permitted by law, you agree to indemnify and hold Open World and its officers, employees, and affiliates harmless from third-party claims, damages, and reasonable legal costs arising from:

  • Submitted Content that infringes or violates a third party's rights;
  • your unlawful or intentionally harmful use of the Services; or
  • your material breach of these Terms.

This obligation does not apply to the extent a claim was caused by Open World's negligence, willful misconduct, breach of these Terms, or violation of law. We will provide reasonable notice of a covered claim and allow you to participate in its defense.

You may not settle a claim in a way that admits fault by or imposes obligations on Open World without our written consent, which will not be unreasonably withheld.

This section may not apply to an individual consumer where applicable law does not permit such an indemnity.

18. Disputes and governing law

Informal resolution

Before filing a formal claim, you and Open World agree to make a reasonable, good-faith effort to resolve the dispute informally for at least 30 days. A notice should describe the issue, the relevant account, and the requested resolution.

Governing law

These Terms are governed by Delaware law, without regard to conflict-of-law rules. If you are a consumer, this choice does not deprive you of mandatory protections provided by the law of your country, state, or province of residence.

Courts

Unless applicable consumer law permits or requires another forum, claims must be brought in the state or federal courts located in Delaware, and each party consents to their jurisdiction. Either party may bring an eligible claim in small claims court.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief for an immediate security threat, unlawful access, or infringement of intellectual-property rights.

19. Changes to these Terms

We may update these Terms to reflect changes in the Services, our business, or applicable law. We will update the "Last updated" date when we make changes.

If a change materially reduces your rights or materially increases your obligations, we will provide reasonable advance notice through the Services, by email, or by another appropriate method.

Changes required for security, fraud prevention, or legal compliance may take effect sooner when reasonably necessary.

If you do not agree to revised Terms, you must stop using the Services before the revised Terms take effect. Your continued use after the effective date means you accept the revised Terms.

Changes to subscription prices or renewal terms are also subject to the notice and consent requirements described in Section 9 and applicable law.

20. Electronic communications

You agree that we may provide agreements, notices, billing confirmations, and other service-related communications electronically, including through the Services or by email. Electronic communications satisfy writing requirements to the extent permitted by law.

You may withdraw consent to optional marketing communications at any time. You cannot opt out of essential account, transaction, security, or legal notices while maintaining an active account when those communications are necessary to provide the Services.

21. Miscellaneous

Entire agreement

These Terms, any purchase terms shown at checkout, and any other terms that expressly apply to a feature form the entire agreement between you and Open World concerning the Services.

Order of precedence

If terms presented for a specific paid plan or feature conflict with these Terms, the specific terms control for that plan or feature. A separately signed agreement between you and Open World controls over these Terms to the extent of a conflict.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, corporate reorganization, financing, sale of relevant assets, or assignment to an affiliate, provided the assignment does not reduce mandatory consumer rights.

Severability and waiver

If a provision is found unenforceable, it will be enforced to the maximum lawful extent or severed, and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver of the right to enforce it later.

Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, except that this does not excuse payment obligations for Services already provided.

No agency

These Terms do not create an employment, partnership, joint venture, franchise, fiduciary, or agency relationship between you and Open World.

Language

If these Terms are translated, the English version controls to the extent permitted by law and only if a conflict exists.
